Assistant General Manager - Contracts

Role & responsibilities

1. Exposure to EPC contracts, particularly in the domain of Thermal Power Sector
2. Scrutiny of bid documents, assessing risk involved and advising measures to mitigate the risk.
3. Knowledge of the various terms and conditions and its implications which normally form the part of bid/contract document.
4. Scrutiny of LOI and LOA and the definitive agreement to be entered between the parties, post contract award.
5. Routine matters related to contractual and legal communications regarding the various issues which have been cropped up in the contracts from time to time and resolving them.
6. Preparation of claims against the breach of the contract, prolongation of contract and variation in scope etc.
7. Exposure to bank guarantees, insurance bond and other securities forming the part of contract.
8. Exposure to various indices, taxes and duties, the regulations, and the compliances involved in commercial contracts.
9. Exposure to dispute resolution; via amicable settlement, arbitration/ courts. Candidate having exposure to different stages involved in arbitration proceedings in terms of issuing the arbitration notice, SOC, SOD, Rejoinder, Affidavits, Cross-examination, Arguments, and arbitral award shall be preferred.
10. Exposure to appeal against the arbitral award before the competent court and the proceedings.
11. Exposure to insolvency and bankruptcy code, preparation of claims and the matter related to NCLT/NCLAT etc.
12. Assisting in filing petition and appeals in various courts related to the commercial contracts.
13. Drafting and vetting of various agreements like MOU, NDA, JV, Consortium Agreement, Technology Sharing Agreement, and other Agreements depending upon the nature of transactions both for domestic and international contracts and discussing and negotiating it with the concerned parties for its finalization.
14. Exposure to various Acts viz Contract Act, Arbitration and Conciliation Act, Interest Act, Sales and Goods Act, IBC and various other Acts including case laws.
15. Any other skill/knowledge not specifically mentioned above but needed to deal the contract legally and commercially.

Preferred candidate profile

Candidate must have degree (B-Tech) in Civil/Mechanical/Electrical engineering at least, with an experience of 12-15 years in dealing various contracts particularly EPC contracts, preferably in thermal power sector. Candidate having a law degree in addition to engineering degree, shall be preferred.
