Associate – Corporate and M&A

About the role

Handle M&A, acquisitions, disposals, investments, joint ventures and corporate transactions. Conduct legal due diligence, identify key transaction risks, and advise clients on transaction structure, regulatory and corporate matters, warranties, indemnities and completion.

Key responsibilities

• Handle M&A, acquisitions, disposals, investments, joint ventures and corporate transactions
• Conduct legal due diligence and identify key transaction risks
• Draft, review and negotiate SPAs, shareholders' agreements, investment agreements and related transaction documents
• Advise clients on transaction structure, regulatory and corporate matters, warranties, indemnities and completion
• Work closely with clients, counterparties and other professional advisers
• Manage transactions independently and meet tight deadlines

About you

• Qualified lawyer with a minimum of 2 years' relevant M&A/corporate experience
• Strong drafting, negotiation and analytical skills
• Commercially minded, with excellent attention to detail
• Able to manage transactions independently and work effectively as part of a team
• Cross-border M&A and/or private equity experience is an advantage
• Proficiency in English, Bahasa Malaysia, Mandarin and any other foreign language
