Associate General Counsel

Technology & Commercial Transactions Associate General Counsel | United States (Remote)

A high-growth NYSE-traded technology company seeking a senior attorney to build and scale the transactions function.

You'll report directly to the Deputy General Counsel and Chief IP Counsel and serve as a key legal leader supporting the company's most strategic technology, commercial, partnership, supply chain, and government-facing transactions.

The business is scaling rapidly, and they need an attorney who can own complex deals, build the legal infrastructure behind them, and become a trusted advisor to senior leadership.

What you'll do

• Lead negotiations on the company's most critical technology, commercial, licensing, strategic partnership, supply chain, and government-facing transactions
• Build and scale the transactions infrastructure, including templates, playbooks, approval processes, negotiation standards, and risk frameworks
• Partner cross-functionally to streamline and standardize the contracting process from initial business discussions through signature
• Serve as an embedded advisor to business leaders, providing practical, commercially oriented legal guidance
• Act as the senior escalation point for complex transactions involving intellectual property, technology, regulatory, and commercial issues
• Drive operational improvements that allow the company to move faster while appropriately managing legal and business risk
• Partner with legal subject matter experts to ensure contracting positions evolve alongside business priorities and legal obligations
• Provide mentorship, oversight, and support to other transactional attorneys as the function grows

What we're looking for

• Experience negotiating sophisticated technology and commercial transactions
• Significant in-house experience supporting fast-paced, growth-oriented companies
• Strong background handling technology agreements, licensing transactions, strategic partnerships, and complex commercial contracts
• Experience building legal processes, contracting frameworks, playbooks, templates, and scalable workflows
• Strong business judgment and the ability to balance commercial objectives with legal risk
• Experience advising senior executives and partnering closely with business stakeholders
• Comfortable operating autonomously in a high-volume, highly dynamic environment
• JD and admission in good standing with at least one U.S. state bar

This role is ideal for an attorney who enjoys building functions, creating structure, and improving processes while serving as a trusted advisor on the company's most strategic technology and commercial transactions. Experience supporting technology businesses across licensing, intellectual property, strategic partnerships, regulatory matters, supply chain transactions, and government-facing engagements is highly valued.

Expected total compensation is around $450,000 when including bonus and equity.
