What the job involves
- We are looking for a versatile corporate lawyer with a deep securities law background to join Figure's Legal team
- Figure is a leading, Nasdaq-listed financial technology company using blockchain to transform financial services, and our Legal team sits at the center of the company's most consequential work: public company governance, capital markets activity, M&A, and novel securities initiatives spanning our lending, marketplace, and digital asset businesses
- You will be equally comfortable running day-to-day corporate matters, leading M&A transactions, and advising at the frontier of securities law, including broker-dealer regulation. This role reports to the Chief Legal Officer and will work directly with Figure's CEO and senior executive team on high-priority securities initiatives
- Advise on the full range of general corporate matters, including entity governance, subsidiary management, corporate approvals, board and committee resolutions, and commercial transactions
- Support public company governance and reporting, including Exchange Act filings (10-K, 10-Q, 8-K), proxy statements, Section 16 compliance, insider trading policy administration (including 10b5-1 plans), and board and audit committee support
- Provide securities law advice on capital markets transactions, including registered offerings, shelf registrations, private placements, and equity plan matters
- Lead the company's M&A activity end to end, including deal structuring, due diligence, negotiation of definitive agreements, regulatory approvals, closing, and post-closing integration
- Advise Figure's broker-dealer and marketplace businesses on SEC and FINRA regulatory matters, including registration, ongoing compliance, examinations, and interactions with regulators
- Partner with senior leadership, including Figure's founder, on strategic securities law initiatives, including the application of federal securities laws to blockchain-native products, tokenized securities, and other novel structures
- Manage outside counsel efficiently and coordinate cross-functional execution with Finance, Compliance, Capital Markets, and Product teams
- Monitor legal and regulatory developments affecting public companies, broker-dealers, and digital asset securities, and translate them into practical guidance for the business
Benefits
- 100% of premium costs for employees and dependents for medical, dental, and vision insurance
- Reimbursement for approved continuing education (eligible employees)
- 10 company-wide holidays plus one personal holiday
- Generous Flexible Time Away (FTA), Paid Time Off (PTO), and paid parental leave
- Bonus plan (eligible employees)
- Option to purchase a set number of shares of Figure's common stock (eligible employees)
