Adecco Romania ADECCO is hiring, on behalf of its client, a dynamic and innovative company operating in energy field, a Lawyer to join their team in Bucharest.

• Higher education: Bachelor’s degree;
• Master will be considered as an asset;
• In-depth knowledge of the Romanian legislation for commercial aspects;
• Knowledge of the energy and renewable energy sources legislation aspects

could be a plus;

• Experience in real estate and commercial transactions;
• Knowledge and experience with the authorities (chamber of commerce,

trade registry, etc);

• Consulting skills;
• Skills in drafting and reviewing legal documents;
• Management: planning, task monitoring, risk identification, reporting.

Corporate

• Advice the company on their legal rights, obligations and decisions comply

with the applicable laws and regulations;

• Represent the company in front of the authorities;
• Produce legal agreements such us: Head of Terms, Binding offers, nonbinding

offers, letter of intent, commercial agreements;

• Advising on corporate governance issues;
• Facilitating acquisitions of lands;
• Facilitating acquisitions of SPVs;
• Supervise and assist external law firms involved in the company's projects;
• Establish new corporations, change coordinates such us company address,

shareholders, directors, administrators, etc;

• Be in contact with the trade registry and the chamber of commerce;

Real Estate

• Legal representation: provides legal representation including buying, selling,

leasing through superficies contract.

• Negotiate Real Estate Deals: Ensuring terms protect company’s interests and

comply with Romanian laws.

• Conduct Title Searches (title examination due diligence): Verifying the

seller’s legal right to transfer the property, checking for liens, and ensuring no

issues affect possession.

• Draft and Review Contracts: Making sure contracts (e.g., purchase,

Superficies, rental agreements) meet legal requirements.

• Land use and zoning: assist, upon request, the technical department in

obtaining necessary permits and approvals for land use.

• Environmental issues: advises the company on environmental concerns

related to real estate transactions, such as contamination, remediation and

compliance with environmental laws.

• Risk assessment: assesses the risks involved in a land transaction (purchase or

superficies contract) and provides guidance to the company on how to

mitigate those risks.

• Collaborate with an external insurance company to draft Title Insurance Policies upon request.
