Overview:

This is a critical role within the Board Secretary Office, serving as the in-house subject matter expert on Hong Kong Listing Rules compliance, statutory and ad-hoc disclosure, and Hong Kong / Cayman company secretarial practices. We are looking for a legally trained professional who can translate complex commercial transactions into precise, regulatorily sound announcements, while ensuring the company remains fully compliant with its ongoing obligations under the Listing Rules and the SFO, also lead the team for various capital transactions.

Key Responsibilities:

Ø HKEX Regulatory Compliance

Track and interpret regulatory updates from the HKEX (including rule amendments, practice notes, and guidance letters), assess their impact on the company, and formulate internal compliance action plans.

Assist in handling HKEX enquiries, investigations, and review requests, preparing response drafts and supporting documentation.

Maintain and update the internal compliance manual; organize regular Listing Rules training sessions for directors, senior management, and business teams.

Ø Disclosure Management (Periodic & Ad-hoc)

Lead the end-to-end preparation, review, and publication of the annual report, interim report, ensuring accuracy and completeness of both financial disclosures and non-financial sections (e.g., Director Report, corporate governance).

Independently draft and review announcements for notifiable transactions, including connected transactions, continuing connected transactions, major acquisitions/disposals, and other discloseable transactions, ensuring strict adherence to Chapter 14 and Chapter 14A of the Listing Rules.

Monitor market movements and inside information on a real-time basis; provide expert legal advice on the timing and content of inside information disclosures to ensure compliance with the "timely, accurate, and fair" disclosure principles.

Ø Capital Transaction

Take a lead legal role in the execution of equity fundraising exercises, including but not limited to placements, rights issues, open offers, and top-up placings, as well as debt instruments (e.g., bond issuances) where applicable.

Oversee the end-to-end regulatory approval process with the HKEX and SFC for major capital exercises, including the submission of draft circulars, listing applications, and supplemental announcements.

Ø Company Secretarial Support

Support the Company Secretary in preparing for Board meetings, committee meetings, and general meetings, including agenda preparation, meeting pack compilation, resolution drafting, and minutes-taking.

Oversee filings with the Companies Registry (e.g., Annual Returns, changes in directors/secretary), and maintain statutory records and the register of members.

Qualifications

· Law degree from an accredited law school and qualified lawyer with relevant PQE

· A minimum of 5 years of experience as a practicing attorney, preferably in a reputable law firm

· Expertise in HKEx listing rules

· Excellent problem-solving, communication and interpersonal skills, with the ability to collaborate effectively with internal stakeholders and external parties

· Organized with the ability to manage multiple projects and competing priorities under tight deadlines

· A team player with a collaborative way of working and ability to deal with a varied workload

· Proactive, hands-on approach identifying areas for improvement

· Fluent in English both written and oral
