Commercial Contracts Manager – Public Sector

Omegro | Supporting AssetWorks Facilities, FacilityForce, and additional operating businesses

Job Summary

The Commercial Contracts Manager is responsible for managing the commercial contracting lifecycle for multiple software businesses within Omegro. This role serves as a central resource for customer and vendor agreements, helping the businesses move contracts efficiently from initial review and negotiation through internal approval, signature, and appropriate financial handoff.

The Commercial Contracts Manager will review and negotiate customer agreements, renewals, amendments, vendor agreements, and other commercial contracts using Omegro Standard Terms, approved contractual positions, and established negotiation playbooks. When deviations from standard terms are necessary, this role will coordinate the appropriate business review, document proposed mitigations, and facilitate Legal, Finance, and other required approvals.

The position works closely with General Managers, Sales leadership, Finance, Legal, RFP resources, and other business stakeholders in a contracting environment focused primarily on higher education, state and local government, major municipalities, and other public-sector organizations. The successful candidate will understand the unique procurement and contractual requirements associated with public entities and will be comfortable independently managing routine contract negotiations while recognizing when commercial, financial, or legal issues require escalation.

This role initially supports AssetWorks Facilities and FacilityForce and may support additional businesses as the organization grows.

Duties and Responsibilities

Commercial Contract Review & Negotiation

  • Manage the initial review, redlining, and negotiation of commercial agreements across supported businesses.
  • Review and negotiate customer agreements including new software and SaaS agreements, renewals, amendments, back-to-base agreements, professional services agreements, and related contractual documents.
  • Apply Omegro Standard Terms and approved contractual positions during contract review and negotiation.
  • Negotiate directly with customer procurement teams, contracting departments, and other representatives within established authority and approved playbooks.
  • Identify material contractual deviations, business risks, and issues requiring escalation.
  • Ensure final agreements accurately reflect the commercial terms approved by Sales and business leadership.
  • Coordinate with General Managers and Sales leadership when negotiations require business decisions outside established guidelines.

Contract Governance & Omegro Coordination

  • Serve as the primary operational resource for applying Omegro contracting standards across supported businesses.
  • Promote the use of Omegro Standard Terms and approved fallback positions whenever possible.
  • Identify and document deviations from Omegro Standard Terms.
  • Prepare required mitigation tables and supporting documentation when deviations from standard contractual positions are requested.
  • Coordinate input from appropriate business stakeholders to ensure proposed mitigations accurately reflect operational and commercial realities.
  • Prepare complete contract packages for submission to Omegro Legal, Finance, or other portfolio resources when additional review or approval is required.
  • Track outstanding approvals and proactively move agreements through the review process.
  • Maintain records of approved contractual exceptions, mitigations, and previously negotiated positions to improve consistency and efficiency in future negotiations.
  • Maintain and improve contract review playbooks, approved clauses, fallback language, and related contracting resources.

Contract Workflow & Execution

  • Own the administrative contracting workflow from initial submission through approval and signature.
  • Establish clear priorities based on customer commitments, renewal dates, RFP deadlines, revenue timing, and business requirements.
  • Coordinate electronic signature and final execution of approved agreements.
  • Maintain an organized repository of executed agreements and associated approval documentation.
  • Track contract status and provide visibility to business stakeholders regarding outstanding actions, approvals, and risks.
  • Ensure executed agreements and supporting documentation are provided to Finance and other stakeholders as required for booking, invoicing, and revenue recognition.
  • Work with Finance to resolve contractual issues that could delay revenue recognition or billing.

RFP & Public-Sector Procurement Support

  • Work closely with RFP resources to ensure contractual and legal requirements are identified and addressed early in the response process.
  • Review contractual terms, certifications, representations, and other legal conditions contained within RFPs and procurement documents.
  • Coordinate required Legal, Finance, Security, Insurance, or business reviews associated with RFP responses.
  • Track contractual requirements and deadlines to reduce the risk of missed or incomplete submissions.
  • Assist with contract-related portions of RFP responses as required.

Cooperative Purchasing Agreements

  • Manage submissions, renewals, and contractual requirements associated with OMNIA and other cooperative or collective purchasing agreements.
  • Ensure approved products, services, and pricing are accurately represented within cooperative purchasing programs.
  • Coordinate updates when products, packaging, or approved pricing change.
  • Maintain a calendar of renewal, reporting, submission, and update requirements.
  • Ensure required documentation is submitted accurately and within established deadlines.

Vendor & Supplier Contracts

  • Review and negotiate vendor and supplier agreements where a supported business is purchasing products or services.
  • Apply Omegro contractual standards and procurement requirements to vendor agreements.
  • Coordinate business, Finance, Security, Legal, and other reviews as appropriate.
  • Maintain visibility into vendor contractual commitments, renewal dates, termination requirements, and pricing changes.
  • Proactively communicate upcoming renewals or contractual deadlines to business owners.

Contract Process Improvement & Automation

  • Identify opportunities to reduce contract cycle times and unnecessary manual effort.
  • Support and continuously improve AI-assisted contract review processes using approved Omegro terms, internal playbooks, fallback clauses, and historical contracting knowledge.
  • Help maintain the accuracy and effectiveness of automated contract-review rules and playbooks.
  • Develop repeatable workflows that allow routine agreements to progress with minimal executive or Legal intervention while maintaining appropriate controls.
  • Track recurring contractual objections and negotiation patterns and recommend improvements to templates, playbooks, and processes.
  • Develop contract-management reporting that provides visibility into contract volume, cycle time, outstanding agreements, escalations, and recurring areas of contractual risk.

Required Skills and Abilities

  • Strong experience reviewing, redlining, and negotiating commercial contracts.
  • Demonstrated ability to independently manage routine contract negotiations within established policies and escalation guidelines.
  • Demonstrated experience reviewing and negotiating contracts with state or local government entities, public universities, municipalities, or other public-sector organizations strongly preferred.
  • Familiarity with public-sector procurement processes, RFPs, cooperative purchasing agreements, and government-mandated contractual provisions.
  • Experience identifying and managing contractual requirements unique to public entities, including statutory terms, public-records requirements, governing-law restrictions, indemnification and liability limitations, insurance requirements, accessibility, data privacy, and information-security provisions.
  • Ability to distinguish between negotiable commercial terms and statutory or institutional requirements that may require alternative language, mitigation, or escalation.
  • Strong understanding of commercial contracting concepts including limitation of liability, indemnification, insurance, intellectual property, confidentiality, data protection, security requirements, termination rights, governing law, payment terms, and renewal provisions.
  • Familiarity with SaaS, software licensing, maintenance, hosting, and professional services agreements.
  • Strong judgment and ability to distinguish between routine contractual issues and matters requiring Legal, Finance, or executive review.
  • Ability to understand contractual risk and clearly communicate the business implications of proposed terms.
  • Excellent written and verbal communication and negotiation skills.
  • Exceptional organization, attention to detail, follow-through, and ability to manage a high volume of agreements with competing priorities and deadlines.
  • Ability to work effectively across multiple businesses and with Sales, Finance, Legal, Security, Operations, and executive leadership.
  • Comfortable learning and using AI and automation tools to improve contract-review efficiency.
  • High level of integrity, accountability, discretion, and sound business judgment.

Education and Experience

  • Bachelor’s degree in business, legal studies, finance, contract management, or a related discipline, or an equivalent combination of education and relevant professional experience.
  • 5+ years of experience in commercial contract management, contract administration, commercial operations, deal desk, legal operations, or a related role.
  • 3+ years of experience supporting public-sector or higher-education contracting strongly preferred, including contracts with state or local government entities, public universities, municipalities, or similar organizations.
  • Experience negotiating contracts within a software, SaaS, technology, or other enterprise B2B environment strongly preferred.
  • Experience supporting multiple business units or operating companies is a plus.
  • Experience with AI-assisted contract review or contract lifecycle management technology is a plus.

Success in This Role

Success in this position will be demonstrated by efficiently moving agreements from initial review through execution while maintaining Omegro contracting standards and appropriate business controls. The Commercial Contracts Manager will reduce the amount of routine contract work requiring executive or Legal intervention, improve contract turnaround times, maintain high-quality documentation for contractual deviations and mitigations, and ensure contractual, procurement, cooperative purchasing, and renewal deadlines are consistently met.

The role should become a trusted resource for supported businesses—independently resolving routine contractual matters while providing leadership with concise, well-prepared recommendations when business decisions or exceptions are required.
