Compliance Lawyer (2+PQE)

We are seeking a Compliance Associate to join our corporate department. The role will support a broad range of corporate compliance matters, including advising listed issuers on equity capital markets transactions (such as secondary fundraisings, placings, new issue of shares), advising on general corporate matters under the Hong Kong laws, providing ongoing and regular regulatory and compliance support to listed companies, handling transactional work (such as M&As, andconnected transactions), ensuring regulatory compliance with HKEX Listing Rules, SFO, and Takeovers Code and assisting with corporate governance and disclosure obligations

Position Responsibilities

• Advise listed issuers to monitor and ensure compliance with Hong Kong regulatory requirements
• Advise listed issuers on regulatory implications on potential transactions
• Monitor compliance matters for annual retainer clients
• Draft and update compliance newsletters checklists training materials
• Liaise with regulators and external professional parties of the listed issuers for transactions and compliance matters
• Assist the conduct of compliance trainings
• Maintain compliance records and reporting systems

Skills and experience

• 2PQE+ years compliance experience.
• Strong knowledge of Hong Kong regulatory framework.
• Excellent drafting and analytical skills with strong attention to detail.
• Ability to manage multiple deadlines in a fast-paced transactional environment.
• Strong communication and stakeholder management skills.
• Strong command of written and spoken English and Chinese (Cantonese and Mandarin).
