Contracts Manager

Key Responsibilities

Contract Drafting & Documentation (Primary Responsibility)

• Draft, prepare, and finalize a wide range of commercial contracts and legal agreements from inception.
• Develop customized contract templates, standard clauses, and contract formats for various business requirements.
• Draft contract amendments, addendums, extensions, and variation orders as required

Contract Negotiation

• Lead contractual negotiations with customers, vendors, consultants, contractors, and business partners.
• Draft alternative contractual language during negotiations to resolve commercial and legal concerns.
• Recommend commercially practical solutions while minimizing contractual risks.
• Coordinate with stakeholders to finalize contractual terms within agreed timelines.

Contract Administration

• Maintain complete documentation of executed contracts.
• Ensure timely execution and renewal of agreements.
• Monitor contractual obligations, deliverables, and key milestones.
• Maintain proper version control and document management.

Commercial & Legal Compliance

• Ensure contracts comply with applicable laws, regulations, and company policies.
• Incorporate statutory requirements into contractual documents wherever applicable.
• Support internal teams by providing contractual guidance during project execution.
• Coordinate with external legal counsel whenever specialized legal opinions are required.

Risk Management

• Identify contractual risks during the drafting stage and incorporate appropriate safeguards.
• Draft suitable indemnity, limitation of liability, warranty, insurance, confidentiality, and dispute resolution clauses.
• Protect the company's commercial and legal interests through robust contractual provisions.

Cross-Functional Coordination

• Work closely with Procurement, Projects, Finance, HR, Commercial, and Engineering teams to understand business requirements before drafting agreements.
• Coordinate with external consultants, vendors, contractors, clients, and legal advisors for contract finalization.
• Support project teams in interpreting contractual provisions whenever required

Documentation & Record Management

• Maintain a centralized repository of all executed contracts.
• Prepare periodic reports on contract execution, renewals, pending agreements, and amendments.
• Ensure proper archival and confidentiality of contractual records.
