Corporate Associate – Midlevel Location: Atlanta, GA; Pittsburgh, PA; Charlotte, NC; other offices considered

Position Type: Associate (2+ Years PQE)

A leading AmLaw 100 law firm is seeking a mid-level Corporate Associate with at least two years of corporate or transactional experience . The ideal candidate will advise companies, private equity funds, venture capital funds, and other investment vehicles on formation, operation, compliance, and strategic growth .

Key Responsibilities

• Advise clients on mergers & acquisitions, equity financings, and general corporate matters
• Draft, review, and negotiate transactional and fund-related documents
• Collaborate with partners and other team members across offices
• Provide strategic guidance to clients on corporate governance, fund structures, and operational matters

Qualifications

• JD from an accredited law school
• 2+ years of corporate/transactional experience, ideally with M&A, private funds, or general corporate work
• Strong analytical, drafting, and communication skills
• Excellent academic credentials
