Corporate Associate | New York | 3-6 Years | $225k-$250k

AJ Chambers are delighted to be working with a well established commercial law firm seeking a Corporate Associate / Corporate Transactions Associate to join its New York office.

This is an excellent opportunity for a 3-6 year corporate and transactional attorney with experience advising businesses on a broad range of M&A, corporate governance, corporate structuring, financing and commercial transactions.

The successful candidate will work closely with partners, senior attorneys and sophisticated domestic and international clients, with exposure to middle market businesses across a range of industries.

About the Role

The attorney will support a broad corporate and transactional practice, working on matters including:

• Mergers & Acquisitions (M&A)
• Buy-side and sell-side transactions
• Corporate structuring and reorganizations
• Corporate governance
• Equity and debt financings
• Commercial transactions
• Business transactions
• Purchase and sale agreements
• Financing agreements and related documentation
• Commercial agreements
• Transactional due diligence
• Deal management and closings

The role also provides the opportunity to collaborate with attorneys across corporate, banking and finance, bankruptcy, real estate, litigation and other practice areas.

Responsibilities

• Support partners and senior attorneys on sophisticated corporate and transactional matters
• Assist with M&A transactions, including buy side and sell side deals
• Draft, review and negotiate purchase and acquisition agreements
• Assist with corporate structuring and governance matters
• Draft and negotiate financing documents and commercial agreements
• Conduct transactional and legal due diligence
• Assist with transaction management, negotiations and closings
• Prepare and review corporate and transactional documentation
• Communicate with clients, opposing counsel and other transaction professionals
• Work collaboratively with attorneys across multiple practice areas
• Manage multiple transactions and deadlines while maintaining strong attention to detail

Must Have

• 3-6 years of law firm experience
• Strong corporate / transactional legal experience
• Experience with one or more of:
• Mergers & Acquisitions
• Corporate Governance
• Corporate Structuring
• Corporate Finance
• Equity or Debt Financing
• Commercial Transactions
• Experience drafting and reviewing transactional agreements
• Strong legal drafting and negotiation skills
• Strong analytical and communication skills
• Excellent judgment and attention to detail
• Ability to manage multiple matters and deadlines
• Active New York Bar admission

• New Jersey Bar admission
• Middle market M&A experience
• Experience representing domestic and international businesses
• Private equity or investment experience
• Banking and finance experience
• Real estate related corporate transactions
• Bankruptcy or restructuring related corporate work
• Experience working across multiple practice groups

Compensation & Benefits

• $225,000-$250,000 base salary, commensurate with experience and qualifications
• New York office based opportunity
