Corporate Counsel (Commercial Contracts & Intellectual Property)

Our client, a highly respected national non-profit, is seeking a Corporate Counsel to join its legal team.

This is an excellent opportunity for an attorney looking to broaden their practice and serve as a true business partner to senior leadership. The role offers exposure to a diverse range of legal matters, including commercial contracts, intellectual property, trademark portfolio management, licensing, governance, compliance, and strategic business counseling. This organization has a small, close-knit legal team and provides a long-term growth and succession opportunity for the successful candidate.

Responsibilities

• Draft, review, and negotiate a variety of commercial agreements, including vendor, licensing, sponsorship, marketing, and partnership agreements.
• Advise internal stakeholders on legal, contractual, and business risks associated with strategic initiatives.
• Support trademark portfolio management, brand protection, licensing, and related intellectual property matters.
• Provide counsel on governance, compliance, risk management, and organizational legal issues.
• Partner with business leaders to develop practical, business-oriented solutions to complex legal matters.
• Assist with legal operations, policy development, and process improvement initiatives.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• Experience in commercial contracts, intellectual property, licensing, corporate law, regulatory matters, or a combination thereof.
• Strong drafting, negotiation, analytical, and problem-solving skills.
• Demonstrated ability to independently manage legal matters and effectively partner with business stakeholders.
• Exceptional written and verbal communication skills.
