Corporate Counsel

We're building hospitals across five states, and we need a versatile business lawyer to keep the whole operation moving. Exceptional Healthcare runs 24/7 emergency and inpatient community hospitals across Arizona, New Mexico, Oklahoma, Texas, and South Dakota, with eight open and a ninth opening in South Dakota this fall. This is a broad, hands-on corporate seat for a lawyer who wants range rather than a narrow lane.

You'll be the business's go-to counsel: governance, contracts, transactions, real estate and construction, risk, and litigation oversight. Direct access to leadership and real influence over how we grow.

What you'll own

• The real estate and construction work behind every new hospital: land acquisition, leases, development, and construction agreements, across a multi-hospital build pipeline
• Business-relevant contracts and commercial transactions across the company
• Corporate governance, entity structuring, board support, and policy development
• Broad-based corporate and business legal support to executive leadership and operations
• Vendor, service, and operational agreements that keep the hospitals running
• Risk management and litigation oversight, directing outside counsel
• General HR and employment advisory to leadership
• Coordination with outside counsel on specialized healthcare regulatory matters

What you bring

• J.D. from an accredited law school
• Active license in good standing in any U.S. jurisdiction (Texas bar or eligibility to waive in a plus)
• 7+ years of broad-based corporate and business legal experience
• Strength in commercial real estate, construction, corporate governance, commercial contracts, and business transactions
• Real estate or construction transactional experience strongly preferred
• Healthcare industry exposure is welcome but not required
• Comfort in a fast-moving, multi-state operating environment with executive visibility
