Corporate Counsel | Remote

Position: Corporate Transactions Attorney

Type: Hourly contract

Compensation: $90 - $130/hour

Location: Remote

Commitment: 10 40 hours/week

Role Responsibilities

• Perform simulated contract negotiations and redlining exercises.
• Review and assess AI responses to contract scenarios and provide expert feedback.
• Create objective evaluation frameworks and grading criteria for AI contract tasks.
• Draft, review, negotiate, and redline corporate transaction agreements.
• Apply expertise in M&A transactions, including SPAs and APAs.
• Collaborate with product and research teams to refine data, guidelines, and best practices.
• Translate legal expertise into actionable feedback for AI systems.

Requirements

• J.D. from an ABA-accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• Strong experience in M&A within a corporate law firm.
• Strong knowledge of standard M&A agreements, including SPAs and APAs.
• Exceptional written and verbal communication skills with meticulous attention to detail.
• Strong analytical capabilities and contract negotiation skills.
• Ability to work effectively with cross-disciplinary teams in a fast-paced environment.
