You'll have the opportunity to work on matters involving acquisitions, integrations, spinoffs, operating model changes, and other significant business transformations , partnering with sophisticated legal and business teams to solve complex problems.

The role is hybrid in Austin or Houston and structured as a contract-to-hire opportunity , offering the potential to transition into a longer-term role.

What You'll Be Doing

• Advise on M&A and complex corporate transactions
• Support major business transformation initiatives , including integrations, separations, spinoffs, and operating model changes
• Handle legal due diligence and identify key transactional risks
• Advise on corporate governance matters
• Draft, review, and negotiate commercial agreements
• Work closely with attorneys and business stakeholders to develop practical, business-focused legal solutions
• Help clients navigate the legal and business considerations that arise during significant organizational change

What We're Looking For

• 3+ years of attorney experience
• Strong experience in M&A and corporate transactions
• Experience with corporate governance, commercial contracting, and legal due diligence
• Exposure to business transformations, integrations, separations, spinoffs, reorganizations, or operating model changes is a strong plus
• Excellent analytical, drafting, communication, and client-service skills
• Current or recent AmLaw experience is required
• Based in or commutable to Austin or Houston, TX
• Must be a member of the Texas bar, in good standing
