Counsel (Corporate)

• Airbnb is looking for an experienced attorney to join our Corporate Legal team.
• Reporting to Airbnb’s Lead Counsel, Corporate, you will partner closely with Airbnb’s Corporate Development team and other legal and cross-functional teams on M&A as well as other corporate and investment transactions.
• From time to time, you may also provide legal support for other teams (e.g., Sustainability, Treasury) as part of the Corporate Legal team’s general practice
• Lead and support mergers, acquisitions, joint ventures, investments, warrants and other corporate transactions through all stages of a transaction lifecycle, including assessment of potential targets, deal structuring, due diligence, negotiation and deal execution
• Provide strategic legal advice to senior management and other internal stakeholders regarding M&A strategy, risk management and execution
• Draft, review and negotiate transaction documents, including letters of intent, definitive agreements and ancillary documents
• Work collaboratively with multiple cross-functional teams across the company
• Manage outside counsel, including the coordination of efforts to ensure effective legal support during the transaction process
• Contribute to the development of internal legal processes and best practices for M&A transactions
• Assist and collaborate on other Corporate Legal matters
