CS / ROC Executive

Role & Responsibilities

As a CS/ROC Executive you will be responsible for ensuring compliance with the Companies Act, 2013, FEMA and other applicable laws and regulations. The role involves maintaining statutory records, handling ROC/MCA filings, preparing corporate documentation, and coordinating with directors, shareholders, clients and regulatory authorities.

Roles & Responsibilities

• Ensure timely compliance under the Companies Act, 2013, ROC/MCA regulations and FEMA.
• Prepare and file statutory returns and forms with the ROC/MCA and other regulatory authorities.
• Prepare Board Notices, Agenda, Board Papers, Resolutions and Minutes.
• Maintain statutory books, registers, records and other corporate documentation.
• Handle incorporation, post-incorporation and event-based compliances.
• Handle FEMA/RBI compliances relating to FDI, foreign investments, share transfers and overseas investments.
• Coordinate with directors, shareholders, clients, auditors, banks and regulatory authorities.
• Monitor statutory deadlines and ensure timely completion of compliances.
• Track changes in applicable laws, regulations and MCA/RBI requirements.
• Maintain confidentiality and accuracy of corporate and client records.

Qualifications & Skills

• CS Qualification is mandatory.
• Strong knowledge of the Companies Act, 2013, ROC/MCA compliances and FEMA.
• Experience in company secretarial matters and statutory compliance.
• Proficient in drafting Board Papers, Notices, Minutes and Resolutions.
• Bachelor's/Master's degree in Commerce, Law or a related field.
