Executive Chair

We are in partnership with a Private Equity-backed Medical Device Manufacturing company operating in the Orthopaedics and Surgical markets, generating revenues around €100m. The Mandate is for an Executive Chair to lead the Board and partner closely with the CEO and Sponsor to define and deliver the Company's Value Creation Proposition (VCP) with acquisition-led growth as the primary lever for scaling the platform toward its next value inflection point.

This is a hands-on Chair role, not a traditional oversight appointment. The Exec Chair will sit close to the deal pipeline, bring credibility and relationships that open doors to acquisition targets within Orthopaedics and Surgical manufacturing, and act as a trusted partner to the CEO in building a business that is ready to scale, integrate, and ultimately exit.

Core Responsibilities:

• Partner with the PE sponsor and CEO to define and lead the Company's VCP, with M&A as a core growth driver
• Chair the Board, setting the strategic agenda and ensuring strong governance between the sponsor, management, and other stakeholders
• Act as a sounding board and mentor to the CEO, strengthening executive team capability ahead of scale
• Identify, evaluate, and help source acquisition targets within Orthopaedics and Surgical manufacturing arena aligned to the platform's buy-and-build strategy
• Provide hands-on guidance to the CEO and leadership team on deal structuring, valuation, and integration planning
• Leverage personal network and sector credibility to open doors with target companies, advisors, and strategic partners
• Support capital structure and financing decisions tied to M&A activity, including add-on acquisitions
• Oversee post-acquisition integration to protect and compound enterprise value
• Represent the Company to investors, lenders, and strategic partners through the growth cycle and toward eventual exit

Candidate Profile:

• Proven track-record as Chair, CEO, or Senior Commercial executive within Orthopedics, Surgical or Contract Manufacturing
• Demonstrated success delivering value creation through M&A—sourcing, executing, and integrating multiple acquisitions
• Strong relationships with Private Equity sponsors and OEM’s within Surgical and Orthopaedics
• Comfortable operating within a PE-backed governance environment
• Experience scaling a sub-€100m platform business via buy-and-build strategy
• Commercially astute with strong financial acumen across capital structure, deal valuation, and ROI
• Strong governance and Board experience; able to hold management accountable while remaining a trusted partner
• Hands-on, pragmatic style; able to commit meaningful time beyond a typical Non-Executive Chair role
