German Lawyer M&A/ Corporate

We are seeking a German-qualified lawyer with solid experience in the renewable energy sector, capable of providing day-to-day legal support to German operations. The successful candidate will act as an extension in-house legal team, supporting project development, M&A transactions, project finance matters and regulatory issues under German law.

This position is intended for a self-employed lawyer who can dedicate a regular number of hours per week/month to projects and become familiar with the company's internal processes and business objectives.

What You'll Do:

• Advice on German regulatory and administrative matters affecting renewable energy projects.
• Review of grid-related agreements and regulatory requirements.
• M&A Transactions
• Legal due diligence of renewable energy projects and project companies.
• Drafting, reviewing and negotiating.
• NDAs.
• LOIs.
• Heads of Terms.
• Exclusivity Agreements.
• Non-Binding Offers (NBOs).
• Binding Offers (BOs).
• Share Purchase Agreements (SPAs).
• Asset Purchase Agreements (APAs).
• Management of legal Q&A processes.
• Identification and mitigation of transaction risks.
• Support during signing and closing processes.
• Incorporation and maintenance of German SPVs.
• Corporate housekeeping.
• Shareholder and board resolutions.
• Powers of attorney.
• Corporate reorganisations and internal restructurings.
• Review and negotiation of financing documentation.
• Review of German law security packages and collateral documents.
• Coordination with lenders and external advisors.
• Support on conditions precedent and closing mechanics.
• Regulatory & Energy Law
• Advice on German energy regulation.
• Support on grid connection matters.
• Analysis of changes in the regulatory framework affecting renewable energy and BESS projects.
• Assessment of regulatory risks impacting project value and bankability.

What We're Looking For:

• German-qualified lawyer (Rechtsanwalt/Rechtsanwältin).
• Minimum 5–6 years of post-qualification experience.
• Previous experience in a top-tier law firm or specialised renewable energy practice.
• Demonstrated experience advising on renewable energy projects in Germany, particularly:Solar PV, Wind & BESS (Battery Energy Storage Systems).
• Experience in M&A transactions involving renewable energy projects.
• Experience in project financing transactions will be highly valued.
• Fluency in English (written and spoken).
• Ability to draft and negotiate legal documentation in English.
• Strong project management and transactional skills.
• Commercial mindset and pragmatic approach.
• Ability to work independently with limited supervision.
• Native or fluent German.
• Knowledge of Spanish.
• Previous experience working with international developers, investors, IPPs or infrastructure funds.
• Experience in cross-border transactions.
• Solution-oriented.
• Business-minded.
• Comfortable working in fast-paced transaction environments.
• Capable of managing multiple workstreams simultaneously.
• Able to coordinate effectively with internal business, development, M&A and finance teams across different jurisdictions.
