Lead Counsel, US Operations

Robert Half is partnering with a global real estate company to hire a Head of US Legal. This 100% remote role is ideal for an experienced attorney who wants to lead the legal function for a growing portfolio of US businesses. You will serve as a trusted advisor to leadership on corporate governance, commercial contracts, strategic transactions and dispute management across multiple entities and jurisdictions. Positions reports into the global General Counsel. This is an excellent opportunity to join a well-capitalized organization with an active growth strategy and make a direct impact on the business. Position is 100% remote, ideal candidate will be able to go into Naples, FL office as needed.

Requirements

• Oversee corporate governance and compliance for multiple US entities, including annual filings, resolutions, board and shareholder matters, and corporate records
• Draft, review and negotiate a wide range of agreements, including franchise, operating, shareholder, employment, service and commercial lease agreements
• Support mergers, acquisitions, financings and reorganizations from LOI and due diligence through closing and post-closing integration
• Manage trademark portfolios and intellectual property records in coordination with outside counsel
• Oversee litigation and disputes, including demand letters, settlements and outside counsel relationships
• Provide practical, day to day legal guidance to business leaders and build efficient legal processes and tracking tools

Qualifications

• J.D. from an accredited US law school; strong academic credentials preferred
• Active member in good standing of a US state bar
• 7+ years of corporate and transactional legal experience; BigLaw or midsize law firm experience preferred
• Real estate brokerage industry experience required
• Experience with multi entity corporate governance, franchise agreements and M&A strongly preferred
• Excellent judgment, communication and organizational skills, with the ability to manage competing priorities independently
