About the Company

We are a growing wellness and fitness company operating as part of a broader business group. We are looking for a Legal professional to support our corporate governance, commercial activities, and day-to-day business operations.

Job Summary

This Legal position will be responsible for managing corporate and commercial legal matters, supporting the company's holding structure, coordinating with shareholders and management, and providing legal support for business operations, including commercial contracts and lease agreements.

Responsibilities

• Manage legal matters related to the company's corporate and holding structure, including coordination with related entities.
• Prepare and maintain corporate documents, resolutions, approvals, and other corporate legal documentation.
• Communicate and coordinate with shareholders, management, Board of Directors, notaries, and external legal counsel on corporate matters.
• Draft, review, and negotiate commercial agreements, including vendor, service, partnership, NDA, and other business contracts.
• Handle and negotiate lease agreements for fitness centers, offices, and other business locations, including renewal, termination, and key commercial terms.
• Provide practical legal advice on corporate, commercial, employment, consumer, and operational matters.
• Identify and mitigate legal risks related to business operations, contracts, partnerships, vendors, employees, customers, and landlords.
• Support legal disputes, negotiations, customer complaints, and coordination with external legal counsel when required.
• Work closely with HR, Finance, Operations, and Business Development to ensure legal considerations are properly incorporated into business processes.
• Monitor relevant regulations and maintain proper records of contracts, licenses, corporate documents, and other legal documentation.

Requirements – Must Have

• Bachelor's degree (S1) in Law.
• Minimum 4 years of relevant experience in corporate, commercial, or business legal roles.
• Strong experience in drafting, reviewing, and negotiating commercial contracts.
• Experience handling corporate governance, shareholder-related matters, and corporate documentation.
• Strong experience handling lease agreements, preferably for commercial properties or multiple locations.
• Good knowledge of Indonesian corporate, contract, employment, and general business law.
• Strong communication, negotiation, analytical, and problem-solving skills.
• Comfortable communicating with shareholders, management, and external stakeholders.
• Good written and verbal communication skills in Bahasa Indonesia and English.
• High integrity, professionalism, and attention to detail.

Nice to Have

• Experience in a holding company, group of companies, or multi-entity organization.
• Experience in the fitness, wellness, hospitality, retail, property, franchise, or consumer services industry.
• Experience handling franchise, licensing, or partnership agreements.
• Experience managing lease agreements across multiple locations.
• Experience working with external legal counsel, notaries, or government authorities.
• Experience supervising or mentoring junior legal team members.
