Legal Manager

Elitez Asia Vietnam , a member of Elitez Group, is supporting our client in identifying an experienced Legal Manager to lead legal support for Vietnam operations, covering corporate, commercial, M&A, compliance, IP, and disputes, while partnering with local and regional stakeholders to support business growth and manage legal risks.

Job description:

• Lead commercial contract drafting and negotiations including supply agreement, distribution agreements, supplier agreements, project agreements, etc.
• Review and analyse advertising, marketing campaigns, packaging, promotion, commercial tie-in and direct marketing issues.
• Manage dispute resolutions and litigations.
• Work with the Gov’t and other MNCs to drive enforcement actions in anti-counterfeiting, etc.
• Provide legal analysis and solution for developing new business models.
• Generally, provide legal advice on corporate governance, employment matters, IP and case management of legal and compliance issues across Vietnam’s businesses and operations.
• Drive the digital legal infrastructure including the contract lifecycle management and periodic legal audits in Vietnam and other AI tools for employees.
• Advise and monitor regulatory requirements and changes including competition law, anti-trust, intellectual property, environmental health & safety, real estate, etc.
• Train managers and staff on upcoming and current legal and regulatory changes.
• Develop strategies and techniques to identify and mitigate potential legal, regulatory or compliance risk.
• Support periodic review of the organization’s compliance, ethics and personnel training policies.
• Collaborate with global and regional compliance investigators to detect and resolve compliance issues.

Requirement:

• 10+ years of commercial legal or private practice experience. Relevant in-house experience in MNC or a large law firm will also be considered.
• JD or equivalent degree from a leading university and law school required.
• Licensed to practice law in Vietnam and the US, UK or other common law jurisdiction.
• Strong commercial contract and general corporate or dispute resolution experience as well in-depth understanding of Vietnamese law, regulations and practices – prefer if the candidate has special knowledge and experience in a particular area of law (e.g., employment, data privacy, etc.)
• A client-focused approach embodying an understanding of the demands of the business and ability to deliver user-friendly advice and support in a timely manner, coupled with a proactive and ambitious nature with a desire to help find solutions.
• Maturity and the ability to make decisions and exercise discretionary authority necessary to successfully perform job duties.
• Written and verbal fluency in English and Vietnamese.
