Legal Manager

About the role

The Legal Manager is responsible for overseeing all corporate legal and governance matters, managing commercial contracts and transactions, handling land and property legal affairs, ensuring regulatory compliance, managing dispute resolution and litigation, and providing strategic legal advisory to support business expansion and M&A activities.

Key responsibilities

• Draft, review, and manage corporate legal documents including articles of association, amendments to articles, GMS resolutions, and board decisions
• Ensure compliance with Limited Liability Company regulations (Law No. 40 of 2007) and its implementing regulations
• Manage shareholding structure, beneficial ownership (UBO), and anti-money laundering (AML) compliance
• Review, negotiate, and draft complex commercial agreements: asset purchase, joint venture, shareholder agreement, loan facility, and security documents
• Conduct legal due diligence for land, property, and corporate acquisitions
• Manage legal due diligence for land assets: verification of land titles (SHM / HGB / HP), certificate history, encumbrances, and permits
• Monitor and analyze regulatory changes impacting business operations
• Develop legal and compliance SOPs for all business units
• Handle dispute resolution through negotiation, mediation, arbitration, or litigation
• Provide proactive legal advisory to management and business divisions on expansion strategy, M&A, and restructuring

About you

• Bachelor of Laws (S.H.) from a reputable university
• Minimum 7 years of experience in corporate and commercial law
• Minimum 3 years in a managerial or supervisory position
• Proven track record in handling M&A transactions, land/property acquisitions, and corporate structuring
• Familiar with Indonesian corporate, trade, and property regulations
• Proficient in drafting and negotiating complex commercial contracts
• Deep understanding of the Limited Liability Company Law, Contract Law, Fiduciary Security Law, Arbitration Law, and Omnibus Law
• Demonstrated leadership and people management skills
• Fluent in Indonesian and English (written and spoken)
• Proficient in Microsoft Office; familiar with legal research tools and contract management systems
