Paralegal

Our client, a highly respected law firm, is seeking a Corporate Paralegal to support a busy corporate practice. This role offers meaningful, substantive work in a collaborative environment, partnering closely with attorneys, clients, and third-party vendors.

Location: San Diego or Los Angeles (hybrid schedule)

What You’ll Do

Under attorney supervision, you will handle a broad range of corporate and transactional support, including:

• Maintain capitalization tables , stock/option ledgers, and related equity records
• Work in corporate maintenance platforms such as Carta and Pulley
• Support filings and processes related to SEC EDGAR Next
• Prepare and file corporate documents (e.g., formations, amendments, state qualifications, consents, annual reports)
• Assist with entity formations (Corporations, LLCs, 501(c)(3))
• Coordinate and organize transaction documents , closing sets, and closing books (including M&A and mergers)
• Prepare UCC searches and filings
• Support due diligence efforts and manage data rooms/matter files
• Maintain minute books (electronic and hard copy)
• Assist with basic private company transfer agent functions (issuances, transfers, option grants, plan record maintenance)
• Prepare drafts for filings with Secretaries of State and other agencies
• Develop and maintain closing checklists
• Support Blue Sky research and filings
• Prepare drafts and file S-8 Registration Statements and Section 16 filings
• Additional related duties as assigned
