Job Title: Senior Associate - Corporate M&A

Location: Boston, Massachusetts

About Caldwell:

We are a fast-growing global law firm, with offices in Boston, Los Angeles, London, and Tokyo. We specialize in a broad range of practice areas including corporate law, mergers and acquisitions, private equity, venture capital, intellectual property, complex commercial litigation, antitrust, securities, regulatory compliance, and strategic advisory services. Our attorneys advise clients across diverse industries such as technology, life sciences, healthcare, financial services, fintech, consumer goods, energy, aerospace, media and entertainment, and several emerging growth sectors.

We are a leading firm recognized in the prestigious law firm ranking, Chambers.

As a Senior Associate in our Corporate Practice Group you will play a key role advising clients through the full M&A lifecycle of buying and selling interests in businesses, business assets, and securities. This role is heavily focused on strategic acquisitions, divestitures, and exit transactions, working directly with founders, boards, private equity sponsors, and public companies.

Job Description:

Your responsibilities will include, but are not limited to:

  • Leading and supporting buy-side and sell-side M&A transactions, including stock and asset purchases, mergers, carve-outs, and strategic exits.
  • Negotiating and drafting primary and ancillary transaction documents, including letters of intent, purchase agreements, disclosure schedules, merger agreements, and closing deliverables.
  • Advising clients on transaction structure, deal risk allocation, and execution strategy across acquisitions and sales.
  • Managing and coordinating legal due diligence for both buyers and sellers, including issue spotting, risk assessment, and remediation strategies.
  • Supporting venture capital and growth-stage transactions, particularly where tied to acquisition or exit planning.
  • Counseling clients on post-closing integration, divestiture matters, and ongoing corporate governance.
  • Collaborating closely with internal teams and external advisors to drive efficient, on-time closings.
  • Staying current on U.S. and international corporate, M&A, and securities law developments affecting transactional work.

Qualifications

  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Admitted to practice in Massachusetts or eligible for prompt admission.
  • 4+ years of experience corporate transactional experience, with a clear emphasis on buy-side and sell-side M&A transactions, at a comparable law firm.

Desired Attributes & Skills

  • Demonstrated experience representing public and private companies on both the buy-side and sell-side; experience with related securities laws strongly preferred.
  • A deal sheet reflecting meaningful M&A experience is expected.
  • Excellent drafting, negotiation, and analytical skills, with the ability to manage complex transactions independently.
  • Strong attention to detail and ability to run multiple deals simultaneously in a fast-growing corporate practice.
  • Proven ability to work both independently and collaboratively, with a willingness to mentor and manage junior team members.
  • Portable book preferred

What We Offer

  • Elite Platform: A truly global platform that provides access to cross-border collaboration, sophisticated enterprise clients, and infinite runway for practice growth.
  • Competitive Compensation: A top-of-market compensation structure tailored to your experience, seniority, and origination potential.
  • Culture: A collaborative, high-performing environment that prioritizes innovation, mentorship, and client-driven outcomes.
  • Autonomy & Career growth: A culture that treats you like a future partner, giving you the runway to build your own practice
