About the role

This role is responsible for handling the company's daily legal and compliance matters, independently reviewing, drafting and amending various commercial contracts, cooperation agreements and legal documents. The position provides legal support to the company and related listed companies, assists with corporate governance, investment, equity, financing and major commercial project legal matters, and participates in company restructuring, investment, acquisition and other corporate transactions.

Key responsibilities

• Handle company daily legal and compliance affairs, independently review, draft and amend various commercial contracts, cooperation agreements and legal documents
• Provide legal support to the company and related listed companies for business matters, assist with corporate governance, investment, equity, financing and major commercial project legal issues
• Participate in company restructuring, investment, acquisition and other corporate transactions, including legal due diligence, transaction document review, risk assessment and project advancement
• Assist with listed company related legal and compliance matters, and maintain communication with company secretaries, finance, external counsel and other professional institutions
• Provide legal advice and feasible risk control solutions for company daily operations, employment, leasing, retail stores and other commercial activities
• Handle or follow up on company disputes, litigation, arbitration and other legal matters, and coordinate external counsel according to matter complexity
• Establish and improve contract management, legal document management and internal legal risk control processes
• Provide clear and actionable handling recommendations to management on major legal and commercial risks, and drive implementation of related matters
• Complete other legal and compliance related work assigned by management

About you

• Bachelor's degree or above in law or related field
• Work experience in law firms, listed companies, financial institutions or large enterprises legal department
• Familiar with company law, commercial contracts and corporate transactions; experience in listed companies, investment, M&A restructuring or corporate governance is preferred
• Ability to independently review and draft contracts and legal documents in Chinese and English
• Strong legal risk judgment, business understanding and problem-solving ability, able to propose feasible solutions based on business needs
• Good communication, coordination and project advancement ability, able to independently liaise with management and external professional institutions
• Hong Kong lawyer practising qualification and relevant corporate legal or law firm work experience
• Good Mandarin and English; Cantonese is preferred
