As a Freelance Attorney, I support companies and founders on cross-border business law across Europe and Africa, with a focus on commercial contracting, corporate governance and regulatory risk. My work combines rigorous legal engineering with an operator mindset: keeping negotiations moving, documentation enforceable, and execution practical. Since September 2023, I have structured and closed 45 agreements (MSA/SoW, NDAs, services, partnerships, shareholder documentation) and delivered end-to-end legal execution across 18+ matters in 4 jurisdictions-from term sheet to signature, including issue-spotting, redlines, stakeholder alignment, closing packs and post-signature action plans. I also established scalable governance across 8 entities (entity set-up, bylaws/SHA, capital operations, board/shareholder packs), standardising decision rights and approval pathways to reduce friction and accelerate delivery. I support transactions and projects totalling €5m–€15m, including investment documentation and authority-facing filings when required, and I typically provide business-ready redlines within 48-72 hours on priority negotiations. I also standardise reusable templates and playbooks (contract templates, negotiation points, closing checklists) to improve speed and consistency across repeat engagements.

I was handpicked given my African project experience and legal expertise, to facilitate the company’s roll-out of cinema complexes across Africa (Senegal, Ivory Coast, Tunisia, Morocco). My key wins include: ☛ effectively launching the enterprise from scratch, and sealing the initial deals, ☛ negotiating and drafting watertight contracts satisfying all parties, and ☛ building robust relationships with future partners, landlords, and administrative bodies in local government. SCOPE OF CONTRACTS (developed in accordance with local legislation): construction, delegated project management, design project management, construction and commercial leases, memoranda of understanding (MOU), non-disclosure agreement (NDA), purchase contracts, service contracts (security, cleaning, maintenance), surety acts, and first demand guarantees. SCOPE OF CORPORATE: drafting company bylaws, shareholder’s agreements, current account advance and legal documentation for establishing subsidiaries and JVs and share capital transactions. I also ensured all investment registration and related documentation is in line with state agency requirements. My feedback from Pathé Gaumont highlighted my ability to assume full responsibility and ownership, my empirically-based initiative, my efficient operational mindset, strong pragmatism and my practical lean with individuals, and my skills in development-based project management, building international teams of experts, negotiation, influence, and overcoming difficult obstacles.

To assist with burgeoning client needs for legal services given their rapid expansion in Africa, I was assigned to the Energy & Natural Resources Department with an Africa focus. This was having been promoted to solicitor after my internship (below) given my expertise, interests and linguistic ability. My work was noted for complex negotiation and drafting, trust-building in client relationships, and rapid assimilation to diverse legal frameworks. Some key successes include: ☛ Commendations for my legal services to Canadian mining company Kinross Gold Corp. for its large-scale African projects came on the heels of negotiating and securing mining agreements. I provided corporate legal advisory services. ☛ My success in finalising EPC contracts, O&M contracts, connection agreements for American company EDS Eximag in developing photovoltaic power plant projects in Senegal. ☛ My facilitation of an ambitious venture by Canadian Kinross: integrated electricity production and transport in Mauritania. I delivered reliable legal audit and due diligence, and secured EPC contracts, O&M contacts, JV incorporation, shareholder agreement. I provided all legal advisory. ☛ I prevented industrial action in Mauritania, through providing a heavily negotiated legal statement to mitigate breach of rules impact. ☛ A great win was in supporting the pre-litigation process with the Ethiopian government through due diligence led to negotiating and securing a mining permit and other agreements for an English company East Africa Metals, in Ethiopia.
